Terms: RELATIONSHIP Cat Dancerz hereby grants Affiliate the non-exclusive right to Refer to the Cat Dancerz Companion Program Destination Site(s), in accordance with the terms and conditions of this Agreement. Affiliate shall have no claims against Cat Dancerz, including, but not limited to, claims to commissions or other compensation on business secured by or through persons or entities other than Affiliate. Affiliate shall not misrepresent Cat Dancerz and shall not make any representations or warranties in connection with the Cat Dancerz Companion Program Destination Site other than those expressly authorized by Cat Dancerz. Affiliate shall at all times comply with all applicable laws, conduct business in a manner that reflects favorably at all times the good name, goodwill, and reputation of Cat Dancerz and avoid deceptive, misleading, or unethical practices that are or might be detrimental to Cat Dancerz. Affiliate shall have no authority to, and shall not, bind Cat Dancerz to any obligations, except as may be expressly set forth herein, or as otherwise agreed to and approved in advance, in writing, by Cat Dancerz. Notwithstanding the above, or anything to the contrary in this Agreement, Affiliate shall neither sell nor promote Cat Dancerz Companion Program Destination Site without the express prior written consent of Cat Dancerz. You agree that in performing your responsibilities pursuant to this Agreement you are in the position of Independent Contractor. Nothing in this Agreement nor any conduct of either party shall be deemed to constitute an employment relationship. Affiliate will not be treated as an employee with respect to the Internal Revenue Code, Social Security Act, Federal Unemployment Acts, or any other federal, state, or local statute, ordinance, rule, or regulation. This Agreement is not intended to create, nor does it create and shall not be construed to create, a partnership, joint venture, or franchise between us and you.

LICENSE Cat Dancerz hereby grants to Affiliate a non-exclusive, non-transferable license, during the term of this Agreement, to use the trade names, trademarks, service marks, logos and other designations of Cat Dancerz and its Companion Program solely in connection with the marketing, advertising, and promotion of the Cat Dancerz Companion Program Destination Site. We agree to furnish you access to our site through links furnished by us. We will provide you with all advertising banners, text or other appropriate icons to be linked to our site. You may use your own banners, icons or methods of delivering consumers to our site only upon prior written approval by us. Affiliate's use of your own banners, text or other appropriate icons will, at all times, be subject to the prior written approval of Cat Dancerz, which shall not be unreasonably withheld or delayed. Affiliate shall comply with all guidelines provided by Cat Dancerz with respect to the graphic reproduction, appearance, and "look and feel" related to the marketing and representation of Cat Dancerz. You agree to follow any instructions or guidelines we provide for using links, and you agree to display our links prominently on your site. You agree to cooperate fully with us to ensure that each link is maintained and used according to our requirements. At our sole discretion and without advance notice, we may monitor your site at any time as often as we wish to determine if you are using links to us properly and to determine if you are complying with the terms of this Agreement. Affiliate may not display the Cat Dancerz name, image, or link in any way that may defame the Cat Dancerz name. The license granted to Affiliate herein is subject to the reservation in Cat Dancerz of all right, title, and interest in and to the banners, text or other appropriate icons. The banners, text or other appropriate icons are the valid and exclusive property of Cat Dancerz, and Affiliate's right to use the images and text is limited to and arises only out of the license granted hereunder. This license cannot be sub-licensed, assigned or otherwise transferred by Affiliate to any third person or entity without the express prior written consent of Cat Dancerz. Any password or right given to you to obtain information or documents from the site is not transferable. Affiliate shall not assign or delegate its obligations under this Agreement, either in whole or in part, without the prior written consent of Cat Dancerz. The license granted by Cat Dancer to Affiliate hereunder shall automatically and immediately terminate upon any termination or violation of this Agreement.

REFERRAL URL We reserve the right to not accept any sites that have, in our sole opinion, any controversial or unacceptable content such as, but not limited to, sites that promote, contain or link to: violence or hatred; criminal or illegal activities; discrimination based on race, color, sex, religion, nationality, disability, sexual orientation or age; libelous, defamatory, disparaging, obscene, offensive or other content that we deem inappropriate; material that infringes on trademark, copyright or patent rights of another party. You agree that such content is Not Permitted and is cause for immediate termination of this agreement and forfeiture of any and all monies earned but not yet paid.

NO SPAMMING Promoting via unsolicited email is strictly prohibited, and affiliate agrees to not reference Cat Dancerz in any way, shape, or form, in any email that Affiliate sends in which the recipient has not specifically asked to receive it. In the case of mailings which are conducted by a third party on Affiliates behalf, Affiliate assumes full responsibility and is advised to perform due diligence to ensure that the mailing list is in fact 100% opt-in. Furthermore, Affiliate may not link to Cat Dancerz from any URL that is promoted via unsolicited email. You agree that unsolicited email (spamming) and/or other generally unacceptable forms of marketing and/or any marketing techniques, methods or approaches that are done directly or indirectly promoting our products and or services and are not pre-approved by us are Not Permitted and is cause for immediate termination of this agreement and forfeiture of any and all monies earned but not yet paid.

ADVERTISING Affiliate may not place links to Cat Dancerz Companion Program Destination Site(s) in newsgroups, message boards, banner networks, counters, chat rooms, guest books, IRC channels or through similar Internet resources. Links must be placed by Affiliate to Cat Dancerz Companion Program Destination Site such that it is unlikely that they will mislead a visitor who clicks on a link to a Cat Dancerz Companion Program Destination Site and such that it is reasonably likely that they will deliver bona fide sales, leads or clicks by the Visitor to Cat Dabcerz from the link. Affiliate shall not cause or enable any sales, leads or clicks to be made that are not in good faith, including, but not limited to, by means of any device, program, robot, I frames, hidden frames, JavaScript popup windows and redirects. Affiliate is responsible for ensuring that Affiliate's advertising obeys all applicable copyright and trademark laws. Cat Dancerz grants Affiliate the right to use the Cat Dancerz name in acceptable marketing materials, but Cat Dancerz is not responsible for Affiliate's misuse of any copyrighted material. You agree that we are the sole authority to determine if any unapproved marketing you do for us directly or indirectly is "generally unacceptable" or is considered "spamming". Affiliate agrees that Cat Dancerz will terminate this Agreement and withhold all referral fees due if Affiliate is found in violation of this policy.

EXPORT CONTROL Any text, logos, designs, graphics, images, sounds, information, documents, or other materials (collectively, "Materials") available from or through the Site are or may be subject to United States export controls. No such Materials from this site may be downloaded or otherwise exported or re-exported (1) into (or to a national or resident of) Cuba, Iran, Iraq, Libya, Sudan, Syria, North Korea, or any other country to which the United States has embargoed goods; or (2) to anyone on the U.S. Treasury Department's list of Specially Designated Nationals or the U.S. Commerce Department's Table of Denial Orders (each, a "Restricted List"). By using or downloading any Materials from the Site, you are warranting that you are not located in, under the control of, or a national or resident of any such country or on any Restricted List.

QUALIFYING SERVICES All Products sold by Cat Dancerz to customers originating from Affiliate's Referring Web Site or Referral URL -- and processed via Cat Dancerz online order forms, telephone or fax numbers, or mailing address -- qualify to earn Affiliate referral fees as described below. Cat Dancerz reserves the right to reject any order that does not comply with the Cat Dancerz policy. Orders processed via telephone, fax, email or mailing address must be accompanied with the referring URL for referral fees to be applied. Affiliate agrees that Cat Dancerz cannot calculate referral fees when the referral URL is not provided with orders processed offline. Cat Dancerz will pay referral fees on any order generated from the referral URL for the entire length of time the Affiliate's customer maintains the Referral Code Cookie on their system.

REFERRAL FEE AMOUNTS Purchase of the Products by Affiliate's referred customers will earn Affiliate a referral fee equal to ten percent (10%) of the purchase price of the Products. Affiliate recognizes that any sales, discounts, specials or visitor earned credits will be deducted from the merchandise total before referral fees are calculated. Affiliate also recognizes that referral fees are not paid on sales tax, shipping fees or other miscellaneous charges that may apply to a qualifying order.

REFERALL FEE PAYMENTS Compensation, which is earned and actually collected on accounts originating from transactions received through your links, shall be paid monthly for the previous month's production. Cat Dancerz will mail a referral fee payment in U.S. dollars for the applicable referral fees (less any taxes required to be withheld under applicable law) on the First of each calendar month for the previous period's referral fees.

RETURNS AND CANCELLATIONS If a merchandise return is approved for an order on which a referral fee has already been paid, Affiliate will not be penalized. As such, a Merchandise Exchange is considered part of the original transaction so no additional referral fees will be paid when exchanges are made. If Affiliate's customer cancels Qualifying Services after a referral fee has already been paid, the corresponding referral fee(s) will be deducted from Affiliate's next monthly referral fee payment. If credit card charges are reversed due to a dispute or fraud, the corresponding referral fee(s) will be deducted from the Affiliate's next monthly referral fee payment.

TAX REPORTING By law, if referral fee payments to Affiliate accumulate to $599 in a calendar year and Affiliate is a resident of the United States of America, Affiliate will be required to provide Cat Dancerz with a signed W-9 Form for tax reporting purposes before Cat Dancerz can make additional referral fee payments to Affiliate during the same calendar year.

CAT DANCERZ POLICY Every customer who purchases a Qualifying Service is deemed to be a customer of Cat Dancerz. Affiliate does not have the authority to make or accept any offer on behalf of Cat Dancerz. Cat Dancerz is not responsible for any representations made by Affiliate which contradict the Cat Dancerz policies.

SERVICE INTERRUPTION AND TRACKING We will maintain our site on our hosted server. Cat Dancerz will make every effort to ensure that its web site is operational, and to track Affiliate's referred customers. However, certain unavoidable technical difficulties may occasionally cause temporary service and tracking interruptions. Affiliate agrees that Cat Dancerz is not liable in any way for such interruptions. Affiliate also agrees that Cat Dancerz is unable to track Affiliate's referred customers after the Affiliate's customer removes the Referral Code Cookie from their system. We will provide accurate daily tracking of all traffic and or business generated for us by your assigned links to our site(s) that you would be able to access by logging into your Affiliate Account.

EDITING, DELETING AND MODIFICION We reserve the right in our sole discretion to change, edit or delete any documents, information or other content appearing on our site(s) as deemed necessary by us at our sole discretion and without any advance notice.

CONFIDENTIAL INFORMATION Affiliate acknowledges that, during the term of this Agreement, it may be entrusted with confidential information relating to the business, operations, or underlying technology of Cat Dancerz. Affiliate shall provide care to avoid disclosure or unauthorized use of the confidential information to any other person or entity. Affiliate shall not use the confidential information for purposes other than those necessary to further the purposes of this Agreement. Affiliate shall not disclose the confidential information to third persons or outside parties without the prior written consent of Cat Dancerz. Should Affiliate be required under applicable law, rule or regulation, or pursuant to the order of any court or governmental entity of legal process of any governmental entity of competent jurisdiction to disclose confidential information in its possession, custody or control, Affiliate shall: (a) give at least thirty (30) days prior written notice of such disclosure to Cat Dancerz; (b) use its best efforts to limit such disclosure; and (c) make such disclosure only to the extent so required. Affiliate's obligations hereunder with respect to Confidential Information shall survive the expiration or earlier termination of this Agreement.

REPRESENTATIONS, WARRANTIES AND COVENANTS (a) Affiliate is duly organized, validly existing, and in good standing under the laws of the state or country of Affiliate's origin; (b) Affiliate has all requisite power and authority to enter into this Agreement and to carry out and perform its obligations under the terms of this Agreement; (c) this Agreement has been duly authorized, executed, and delivered by Affiliate and is a valid and binding obligation of Affiliate enforceable in accordance with its terms; and (d) the execution, delivery, and performance of and compliance with this Agreement does not and will not conflict with, or constitute a default under, or result in the creation of, any mortgage, pledge, lien, encumbrance or charge upon any of the properties or assets of Affiliate, nor result in any violation of (i) any term of Affiliate's governing documents, (ii) in any material respect, any term or provision of any mortgage, indenture, contract, agreement, instrument, judgment or decree, or (iii) to the best of Affiliate's knowledge, any order, status, rule or regulation applicable to Affiliate, the violation of which would have a material adverse effect on Affiliate's business or properties.

WARRANTY DISCLAIMER The products, services, information and other content available from or through the Cat Dancerz Companion Program Destination Site are provided "As-Is", "As Available" and all warranties, either express or implied, are disclaimed to the fullest extent permissible pursuant to the applicable law. Cat Dancerz disclaims all warranties, either express or implied, including by not limited to, (a) that any products, services or information available from or through the site(s), or the site itself will be merchantable or fit for a particular purpose, (b) that any products, services, information or other content available from our through the site, or the site itself will be uninterrupted or error-free, (c) that defects will be corrected, (d) that there are no viruses or other harmful components, (e) regarding correctness, accuracy, or reliability, or (g) against interference with your enjoyment of the of the products, services or information, or against infringement. All products, services, information and other content provided in the course of this agreement are provided with all faults, and the entire risk as to satisfactory quality, performance, accuracy, and effort is with you as the user.

LIMITATION OF DAMAGES We agree to hold harmless you and you agree to hold harmless us from any and all loss, damage, liability, claims or causes of action in any way resulting from any acts or omissions of either us, or you, in connection with or in any way related to this agreement. This mutual indemnity shall include, but not be limited to, any loss, damage, liability, claims, or causes of action under any state or federal consumer credit laws, including but not limited to the Federal Truth in Lending Act and Equal Credit Opportunity Act. We, and our affiliated parties, have no liability whatsoever for your use of any information or other content available from or through the site(s), or the site itself. Cat Dancerz makes no warranties, either express or implied, concerning services furnished hereunder, nor the performance, functionality, or continued existence of the Cat Dancerz Companion Program or any Cat Dancerz Companion Program Destination Site, and hereby expressly disclaims all implied warranties, including warranties of merchantability or fitness for a particular use or purpose. Under no circumstances shall Cat Dancerz be liable to Affiliate or any other person or entity for any loss, injury, or damage, of whatever kind or nature, resulting from or arising out of any mistakes, errors, omissions, delays, or interruptions in the Cat Dancerz Companion Program or any Cat Dancerz Companion Program Destination Site and/or the receipt, transmission, or storage of any data, messages or information arising out of or in connection with the Cat Dancerz Companion Program or any Cat Dancerz Companion Program Destination Site. Without limiting the generality of the foregoing, Cat Dancerz shall in no event be liable to Affiliate or any other person, for indirect, incidental, or special damages, lost business, lost profits, lost savings, or any other form of consequential damages, regardless of the form of action, even if Cat Dancerz has been advised of the possibility of such damages, whether resulting from breach of its obligations under this Agreement or otherwise. The negations of damages set forth above are fundamental elements of the basis of the bargain between you and us. The information and other content available from or through the site, and the site itself, would not be provided without such limitations. No advice or information, whether oral or written, you obtain from us from or through the site shall create any warranty, representation or guarantee not expressly stated in this agreement.

INDEMNITY Affiliate shall defend, indemnify, and hold Cat Dancerz, its directors, officers, employees, agents, attorneys, advertisers, publishers and representatives harmless from and against any and all liabilities, losses, damages, and costs, including reasonable attorney's fees, resulting from, arising out of, or in any way connected with (a) any breach by Affiliate of any warranty, representation, or agreement contained herein, (b) the performance of Affiliate's duties and obligations hereunder, (c) the negligence of Affiliate, (d) any injury (including death) to persons or damages to property caused directly or indirectly by the negligent or intentional acts or omissions of Affiliate, (e) the unauthorized use of banners, text or other icons by Affiliate, or (f) any other use of the Site or violation of this Agreement.

TERM AND TERMINATION This Agreement will remain in effect for as long as Cat Dancerz makes the Service available, unless the Agreement is terminated due to breach of its terms. Cat Dancerz and Affiliate have the right to terminate this Agreement at any time. The final referral fee payment to Affiliate may be withheld for a reasonable time in order to ensure that the correct amount is paid to Affiliate. You agree that termination of this agreement will also terminate any further compensation payments earned or due to you by us effective the date we receive your cancellation. For purposes of notification of termination, delivery via e-mail is considered a written and immediate form of notification. Upon any termination of this Agreement, Affiliate and Cat Dancerz will be released from all obligations and liabilities to the other occurring or arising after the date of such termination or the transactions contemplated hereby, except with respect to those obligations which by their nature would be deemed to survive termination as provided herein; termination will not relieve Affiliate from any liability arising from any breach of this Agreement occurring prior to termination.

AGREEMENT MODIFICATION Cat Dancerz reserves the right to change, modify, add or delete any term or condition of this Agreement, at any time and at its sole discretion, by emailing to you or by posting on our site the Change, effective on the date we specify. Changes may relate to, for example, the scope or type of Commissions, the Commission payment schedule, payment procedures and Program rules. If any change is unacceptable to you, you may terminate this agreement. Your continued participation in the program after we give written notice of a change will constitute your binding acceptance of the change.

GOVERNING LAW This agreement is the sole agreement between the parties; no prior agreements or understandings shall be effective for any reason. The waiver or failure of either party to exercise any right provided in this agreement shall not be deemed a waiver of any other rights. In the event that any portion of this agreement is declared void, unlawful or unenforceable, that portion shall be deemed stricken from this agreement and the remaining portions of this agreement shall continue in full force and effect. You shall comply with all United States Of America Federal, State, and Local laws. This Agreement shall be governed by the laws of the State of Tennessee and the parties agree that any claim, dispute or other difference shall be exclusively resolved by binding arbitration pursuant to the Commercial Arbitration Rules of the American Arbitration Association with arbitration to occur at a location selected by Cat Dancerz. The prevailing party shall be entitled to recover reasonable attorney fees and costs. Any cause of action by you with respect to the Site (and/or information, documents and other materials contained therein) must be instituted within one (1) year after the cause of action arose or be forever waived and barred.

MISCELLANEOUS By creating an account with Cat Dancerz Companion Program, using the automatic facility located on the Internet and the appropriate Cat Dancerz URL address, Affiliate executes, accepts, enters into, and becomes party to this Agreement. At such point, Cat Dancerz simultaneously and automatically becomes counter-party to this Agreement. The Effective Date of such Agreement is the day on which Affiliate creates such account in the Cat Dancerz Companion Program. You agree that your failure to follow any and all terms of this agreement allows us, at our sole discretion, to immediately terminate this agreement.
